Terms of Service

These are the terms on which I provide bookkeeping services. If we have signed a separate engagement letter or you have accepted a written quote, that document takes precedence wherever the two differ.

1. Who you are dealing with

Ledger Room is the trading name of Annelli Deyzel, an independent bookkeeper trading as a sole proprietor from Saint Helena Bay, South Africa. Throughout these terms, “I” and “me” mean Ledger Room; “you” means the business engaging me.

Ledger Room is not registered for VAT, so no VAT is charged on any invoice.

2. What these terms cover

They cover both your use of this website and the bookkeeping services I provide. Using the site means accepting the parts that apply to it; engaging me for work means accepting all of it.

3. The services

Depending on the package you choose, the work may include:

The transaction volumes, employee counts and reporting frequency included in each package are those set out on the pricing section of this site. Work beyond them, including once-off catch-up work on historical books, is quoted separately before it starts.

I am a bookkeeper. Nothing I provide is an audit, an independent review, or a formal assurance engagement, and nothing on this website is accounting, tax or legal advice for your particular circumstances.

4. Fees and payment

Package fees are fixed monthly amounts, payable monthly in advance. The fee for a month is due at the start of the month the work covers.

Fees are quoted exclusive of VAT. As Ledger Room is not registered for VAT, no VAT is added.

I will give you at least one calendar month's written notice before changing your fee. If a change does not suit you, you may end the engagement under clause 8.

If an invoice remains unpaid, I may pause work on your account until it is settled. I will tell you before I do that, not after.

5. What I need from you

The work depends on getting complete and accurate information in good time. You agree to:

You remain responsible for your own statutory obligations and for the underlying accuracy of your business records. Where a penalty or interest charge arises because information reached me late, was incomplete, or was incorrect, that cost is yours.

6. Access

I ask for read-only access to your bank feed and accounting file, and for your prior year's records. I do not ask for, and do not want, any access that would let me move money on your behalf.

Keep your own credentials secure and tell me promptly if access needs to be revoked.

7. Turnaround and working hours

For a new client, I aim to have the first month reconciled and closed within two weeks of receiving the access and records I need. Thereafter we settle into an agreed monthly rhythm.

I work Monday to Friday, 09:00 to 16:00, South African time, and answer email within one working day. I am one person rather than a firm, so occasional leave is a normal part of the arrangement; I will give you notice of it.

8. Ending the engagement

Either of us may end the engagement by giving one calendar month's written notice. Email counts as writing.

Either of us may end it immediately if the other commits a serious breach that is not put right within 14 days of being asked in writing.

On termination, fees for work already done remain payable. I will return your records and give you a clean handover of your accounting file, and I will not hold your records hostage over a fee dispute.

9. Liability

I will carry out the work with reasonable skill and care.

I am not liable for loss arising from information that was given to me late, incompletely or incorrectly, nor for decisions you take based on figures you have not asked me to check.

Where I am liable, my total liability for any claim is limited to the fees you paid me in the three months before the event giving rise to it. Nothing in these terms limits liability for fraud, or for anything that cannot lawfully be limited.

10. Confidentiality and your information

I treat your financial information as confidential and will not share it with anyone except where you ask me to, or where the law requires it.

11. This website

The content here is general information about the services, including indicative pricing. It is not an offer capable of acceptance, and it is not advice for your situation. I may change the site, including prices, at any time; a change to published pricing does not alter the fee of an existing client except under clause 4.

12. Governing law

These terms are governed by the law of the Republic of South Africa, and the South African courts have jurisdiction over any dispute arising from them.

13. Changes to these terms

I may update these terms from time to time. The date at the top shows when they last changed. For existing clients, a material change takes effect one calendar month after I tell you about it.
